# Terms and Conditions for easy-ai.co.uk
## 1. Introduction
These Terms and Conditions (“Terms”) govern your use of the services provided by Easy AI (“we”, “us”, “our”), accessible via the website easy-ai.co.uk (“Website”). By accessing or using our services, including AI automations and AI agents/chatbots (“Services”), you (“Client”, “you”, “your”) agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Services.
These Terms constitute a legally binding agreement between you and Easy AI. Please read them carefully.
## 2. Services
Easy AI provides bespoke AI automation solutions and develops custom AI agents and chatbots tailored to meet specific client requirements. Our services involve the configuration, training, and deployment of these AI systems based on the information and access provided by the Client. The specific scope of services for each Client will be detailed in a separate Service Agreement or proposal, which will form part of this agreement.
## 3. Payment Terms
3.1. **Fees:** The fees for our Services are charged on a monthly basis, as outlined in the specific Service Agreement or proposal provided to the Client.
3.2. **Variable Charges:** Easy AI reserves the right to adjust charges based on the specific service requirements, usage levels, or complexity involved. Any changes to recurring monthly fees will be communicated to the Client with reasonable prior notice.
3.3. **Configuration Fees:** For particularly complex automations or AI agent/chatbot configurations, a one-time configuration fee may apply. This fee, if applicable, will be clearly stated in the Service Agreement or proposal before work commences.
3.4. **Payment Schedule:** Invoices are issued monthly in advance and are due upon receipt, unless otherwise specified in the Service Agreement.
3.5. **Late Payment & Suspension:** Failure to make timely payments may result in the suspension of Services. Easy AI reserves the right to suspend access to any and all Services, including AI agents and automations, without liability, until all outstanding amounts are paid in full. Reinstatement of services may be subject to a reactivation fee.
## 4. Termination
4.1. **Termination by Client:** The Client may terminate the monthly service agreement by providing Easy AI with a minimum of one (1) month’s written notice prior to the desired termination date. Fees will continue to be payable up to the end of the notice period.
4.2. **Termination by Easy AI:** Easy AI may terminate the agreement with one (1) month’s written notice for any reason. Easy AI may also terminate the agreement immediately upon written notice if the Client breaches any material term of this agreement, including failure to make payments.
4.3. **Effect of Termination:** Upon termination, the Client’s access to the Services will cease. Any outstanding fees become immediately due and payable. Sections concerning Limitation of Liability, Intellectual Property, Data Confidentiality, and Governing Law shall survive termination.
## 5. Service Provision & Maintenance
5.1. **AI Agent/Chatbot Training:** Easy AI will undertake the training and configuration of the AI agents and chatbots as part of the Service. However, the effectiveness and knowledge base of these AI systems are fundamentally dependent on the data provided by the Client.
5.2. **Client-Provided Data:** The Client is solely responsible for providing the necessary data required for training the AI agents/chatbots. This data may be in the form of documents, PDF files, website links, or other formats as agreed upon. The Client warrants that they have the necessary rights and permissions to use this data for the intended purpose.
5.3. **Scope of Knowledge:** The AI agents/chatbots developed by Easy AI will operate exclusively based on the information and data provided by the Client. Easy AI will not incorporate external data sources or general knowledge unless explicitly instructed and provided by the Client.
5.4. **Knowledge Updates:** Any updates or additions to the knowledge base of the AI agents/chatbots must be initiated and the relevant information provided by the Client. Easy AI will implement these updates as part of the ongoing service or potentially as a separate chargeable task, depending on complexity.
5.5. **Issue Resolution:** Should the AI agents/chatbots malfunction or fail to operate as intended due to issues within Easy AI’s control (e.g., system errors, configuration faults), Easy AI will take reasonable steps to investigate and resolve the issue in a timely manner. This does not cover issues arising from the quality, accuracy, or completeness of the data provided by the Client, or problems originating from third-party systems or APIs that the Client is responsible for providing access to.
## 6. Client Responsibilities
6.1. **Provision of Data:** As outlined in Section 5, the Client is responsible for providing accurate, complete, and suitable data for the training and ongoing operation of the AI agents/chatbots. The quality of the Service is directly dependent on the quality of the data provided.
6.2. **Access and Permissions:** The Client is responsible for providing Easy AI with any necessary API keys, login credentials, or access permissions required for the AI agents/chatbots or automations to interact with third-party software, platforms, or systems as required for the agreed-upon functionality. The Client warrants that they have the authority to grant such access.
6.3. **Compliance:** The Client is responsible for ensuring that their use of the Services, including the data provided and the actions performed by the automations or agents, complies with all applicable laws, regulations, and third-party terms of service.
## 7. Disclaimers & Limitation of Liability
7.1. **Disclaimer of Warranties:** The Services are provided “as is” and “as available” without any warranties of any kind, express or implied, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Easy AI does not warrant that the Services will be uninterrupted, error-free, or completely secure.
7.2. **Limitation of Liability:** Easy AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.
7.3. **No Responsibility for Backlash:** The Client acknowledges and agrees that the use of AI automations, agents, and chatbots may carry inherent risks. Easy AI explicitly disclaims any responsibility or liability for any negative consequences, public backlash, reputational damage, legal issues, or other adverse effects that may arise from the Client’s use of the Services or the actions taken by the AI systems developed or configured by Easy AI based on the Client’s requirements and provided data. The Client assumes full responsibility for the deployment and consequences of using the Services.
## 8. Intellectual Property
8.1. **Easy AI Intellectual Property:** The Client acknowledges that all intellectual property rights, including copyright, patents, trade secrets, and other proprietary rights, in and to the underlying technology, software, methodologies, and frameworks used to create and operate the AI agents, chatbots, and automation solutions provided as part of the Services, are and shall remain the exclusive property of Easy AI.
8.2. **Ownership of Developed Agents/Chatbots:** The specific AI agents and chatbots developed or configured by Easy AI for the Client, while tailored using Client data, remain the intellectual property of Easy AI. Easy AI retains the right to use the underlying models, structures, and algorithms developed during the provision of Services for other clients or purposes, provided that such reuse does not involve the disclosure or use of the original Client’s confidential information or data (as defined in Section 9).
8.3. **Client Data:** As stated in Section 9, the Client retains all ownership rights to the data and information they provide to Easy AI for the purpose of training or operating the Services.
8.4. **License to Use:** Subject to the terms of this agreement and timely payment of fees, Easy AI grants the Client a non-exclusive, non-transferable, revocable license to use the specific AI agents/chatbots and automations developed for them, solely for their internal business purposes during the term of the agreement.
## 9. Data Confidentiality
9.1. **Client Data Ownership:** All data, information, documents, links, or other materials provided by the Client to Easy AI for the purpose of configuring, training, or operating the Services (“Client Data”) shall remain the sole property of the Client.
9.2. **Confidentiality Obligations:** Easy AI agrees to treat all Client Data as confidential information. We will not use, copy, disclose, or distribute Client Data for any purpose other than providing the agreed-upon Services to the Client. Specifically, Client Data provided for training or operating an AI agent/chatbot for one Client will not be used for or disclosed to any other client or third party.
9.3. **Data Security:** Easy AI will implement reasonable technical and organizational measures to protect Client Data against unauthorized access, disclosure, alteration, or destruction. However, the Client acknowledges that no security measures are perfect or impenetrable.
9.4. **Return/Deletion of Data:** Upon termination of the agreement or upon the Client’s written request, Easy AI will securely delete or return all Client Data in its possession or control, unless required by law to retain it.
## 10. Governing Law & Dispute Resolution
10.1. **Governing Law:** These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.
10.2. **Jurisdiction:** Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation (including non-contractual disputes or claims).
## 11. Amendments
Easy AI reserves the right to modify these Terms at any time. We will notify Clients of any significant changes, typically via email or a notice on our Website. Continued use of the Services after such modifications constitutes acceptance of the revised Terms. It is the Client’s responsibility to review the Terms periodically.
